1. Introduction

These Sponsorship Terms and Conditions (“Terms”) govern the relationship between DEBEL 69 Sdn Bhd (“DEBEL”, “we”, “our”, or “us”) and the Sponsor (“you”, “your”, or “the Sponsor”) who purchases or participates in any DEBEL Sponsorship Package, including Bronze, Silver, Gold, or Platinum levels.

By confirming a sponsorship or subscribing to a DEBEL Sponsorship Plan through DEBEL.app, you agree to comply with and be bound by these Terms.

2. Sponsorship Packages

DEBEL offers four official sponsorship tiers:

• Bronze Sponsor – RM10,000

• Silver Sponsor – RM50,000

• Gold Sponsor – RM100,000

• Platinum Sponsor – RM500,000

Each package provides specific benefits as outlined on the DEBEL Sponsorship page, including but not limited to branding, social media exposure, influencer campaigns, and CSR involvement.

3. Scope of Sponsorship

The sponsorship funds will be allocated in accordance with DEBEL’s Sponsorship Fund Allocation Policy:

• Marketing and Advertising Campaigns: 20%–30%

• Influencer Collaborations: 15%–25%

• Event Sponsorships and Branding: 15%–25%

• CSR and Educational Support Programs: 10%–15%

• Platform Development and Administration: 5%–10%

The allocation percentage varies based on the sponsorship tier selected. Sponsors understand and agree that DEBEL reserves the right to adjust allocations as necessary to maintain campaign efficiency and effectiveness.

4. Payment Terms

• All payments must be made in Malaysian Ringgit (MYR) or United States Dollar (USD) through authorized payment gateways (2C2P, PayPal, or other supported channels).

• Payment is considered complete once funds are received and verified by DEBEL’s Finance Department.

• Installment options (IPP/PayLater) may be offered for eligible sponsorships above RM5000 through selected payment gateways.

• Sponsorship packages are non-refundable, except where DEBEL fails to deliver the agreed-upon minimum deliverables, as described in Section 9.

5. Sponsor Obligations

Sponsors agree to:

1. Provide accurate company information, logo, and branding materials in acceptable formats.

2. Avoid submission of any content that is unlawful, defamatory, discriminatory, or violates intellectual property rights.

3. Approve all marketing materials featuring their brand before public release when requested.

4. Maintain good conduct that aligns with DEBEL’s values in education, equality, and community upliftment.

6. DEBEL Obligations

DEBEL agrees to:

1. Deliver the sponsorship benefits according to the selected package.

2. Provide acknowledgment and branding exposure as specified in the Sponsorship Agreement.

3. Allocate sponsorship funds transparently in line with DEBEL’s Sponsorship Allocation Policy.

4. Include the sponsor in campaign reports and analytics (available upon request).

5. Maintain the sponsor’s branding integrity in all placements and communications.

7. Branding and Intellectual Property

• The Sponsor grants DEBEL a non-exclusive, royalty-free license to use its name, logo, and promotional materials solely for the purpose of fulfilling sponsorship benefits.

• DEBEL retains ownership of all marketing content, creative assets, and digital campaigns produced under the sponsorship unless otherwise agreed in writing.

• Any co-branding, influencer collaborations, or TV advertisements will include “Sponsored by [Sponsor Name]” or equivalent acknowledgment, where applicable.

8. Affiliate and Partnership Tracking

• DEBEL’s affiliate system enables tracking of campaign reach, clicks, and sales.

• Sponsors may receive unique Affiliate or Tracking IDs for performance measurement.

• Commission incentives or shared campaigns using affiliate links are subject to DEBEL’s Affiliate Terms & Conditions.

9. Refunds and Cancellations

• Sponsorships are final and non-refundable once payment is confirmed.

• In cases where DEBEL fails to deliver the agreed minimum deliverables (e.g., no branding exposure or campaign execution), DEBEL may issue a partial refund or credit note for future sponsorship opportunities.

• If a sponsor withdraws after campaign confirmation, the full amount is forfeited.

• Force Majeure events (see Section 14) shall not qualify for refund claims.

10. Reporting and Transparency

• Sponsors will receive a summary report or analytics update upon campaign completion, detailing:

  • Reach and engagement metrics

  • Influencer performance

  • Event attendance and branding placements

  • CSR contributions and beneficiaries

• DEBEL may publish consolidated sponsorship outcomes for transparency purposes.

11. Tax and Financial Compliance

• All sponsorship fees are exclusive of applicable taxes (SST/VAT) unless stated otherwise.

• DEBEL 69 Sdn Bhd will issue official tax invoices for all payments received.

• Sponsors are responsible for their own tax reporting and deductions.

12. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during or after the sponsorship term, including but not limited to financial details, campaign data, and strategic plans.

13. Publicity and Media Rights

DEBEL reserves the right to:

• Announce sponsorship partnerships publicly via press releases, media interviews, or social platforms.

• Feature the sponsor’s logo or materials in online/offline campaigns related to DEBEL Projects, Services, or Events.
  Sponsors may also publicly announce the collaboration with prior written acknowledgment from DEBEL.

14. Force Majeure

Neither party shall be held liable for delays or failure to perform obligations caused by events beyond reasonable control, including but not limited to acts of God, war, strikes, natural disasters, government restrictions, or pandemics.

15. Termination

DEBEL reserves the right to terminate sponsorship arrangements if:

• The Sponsor engages in unlawful or unethical conduct.

• The Sponsor fails to provide required materials or payments on time.

• The collaboration damages DEBEL’s reputation or public image.

Upon termination, DEBEL will cease using the Sponsor’s branding immediately.

16. Limitation of Liability

DEBEL shall not be liable for:

• Any indirect, incidental, or consequential losses arising from sponsorship participation.

• Any third-party platform (e.g., social media, influencers) performance beyond DEBEL’s direct control.
  Total liability shall not exceed the amount of sponsorship paid by the Sponsor.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed under the laws of Malaysia.
Any disputes shall be resolved through amicable mediation first. If unresolved, disputes shall be submitted to the courts of Kuala Lumpur, Malaysia.

18. Amendments

DEBEL reserves the right to modify these Terms at any time. Updated versions will be published on Debel Sponsorship Terms. Sponsors are advised to review the Terms periodically.
